If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

Cliq24 is a social media management platform that allows users to:

• Connect and manage multiple social media accounts from various platforms
• Track engagement metrics and performance across connected accounts
• View analytics and insights for their social media presence
• Access premium features through paid subscriptions

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion.

4. Subscription Plans and Billing

4.1 Free and Premium Plans

Cliq24 offers both free and premium subscription plans:

• Free Plan: Limited to 2 connected social media accounts
• Premium Plan: Unlimited connected accounts with additional features

4.2 Billing and Payments

By subscribing to a premium plan, you agree to:

• Pay all applicable fees and charges
• Provide current, complete, and accurate billing information
• Authorize us to charge your payment method on a recurring basis
• Pay any applicable taxes

4.3 Automatic Renewal

Premium subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged at the then-current rate unless you cancel your subscription.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period. No partial refunds will be issued for unused time.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Post, transmit, or share illegal, harmful, or offensive content

• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without our explicit permission
• Impersonate any person or entity or misrepresent your affiliation
• Violate the terms of service of connected social media platforms
• Sell, resell, or exploit the Service for commercial purposes without authorization
• Reverse engineer, decompile, or attempt to extract source code

6. Social Media Account Connections

6.1 Third-Party Authorization

When you connect a social media account to Cliq24, you authorize us to access your account data according to the permissions you grant through that platform's OAuth system.

6.2 Third-Party Terms

Your use of connected social media platforms remains subject to their respective terms of service. You are responsible for compliance with all third-party platform policies.

6.3 Data Access and Usage

We access and store data from your connected accounts solely to provide the Service. See our Privacy Policy for details on how we handle your data.

6.4 Disconnecting Accounts

You may disconnect any social media account at any time from your account settings. Upon disconnection, we will delete associated data according to our data retention policy.

7. Intellectual Property Rights

7.1 Our Property

The Service, including its design, code, features, and content, is owned by Cliq24 and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7.2 Your Content

You retain ownership of any content you access through connected social media accounts. By using the Service, you grant us a limited license to access, display, and analyze this content solely to provide the Service.

7.3 Feedback

If you provide feedback or suggestions about the Service, we may use them without any obligation to you.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time without notice.

9.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party social media platforms or their APIs. Service interruptions due to third-party issues are beyond our control.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIQ24 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cliq24 and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending an email notification (if we have your email)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

12. Termination

You may stop using the Service and delete your account at any time from your account settings.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Requests by law enforcement or government agencies

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and associated data
• You remain liable for any outstanding fees
• Sections that by their nature should survive termination will continue to apply

13. Dispute Resolution

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
